Review and approval
Review against your clause playbook and approve the exact version that will be signed.
Review checks a version against your clause playbook; approval pins the exact version that will be signed.
Templates and the clause playbook
Under Library the owner or counsel keep Agreement templates, with fields and clause wordings, and approve a template version before anyone can use it. A later template version never changes an agreement already made from an earlier one.
The Clause playbook holds your rules: preferred wording, allowed alternatives, and who decides an exception (counsel or an approver). One playbook version is active at a time, and every finding records the version it used. Reviews need an active playbook.
Record findings
On an agreement's Review tab, record a finding against a playbook rule:
- Result: Rule met, Rule breached or Cannot determine.
- Exact passage: the words from the version, checked against its text.
- Explanation, Proposed wording (optional) and Open questions (one per line).
Approve the exact version
Every agreement needs commercial approval from the owner or an approver. Each breached or undetermined finding also needs an exception decision from the rule's authority. A requester cannot approve their own request unless they are the owner.
An approval counts only for the version and context it was given on: the version's files and text, the value, the counterparty and the findings that need a decision. A new version or a changed value withdraws earlier approvals, visibly, and the agreement goes back to review. A finding that a rule is met changes nothing an approval rests on.
Locket organises and prepares agreements. It does not give legal advice or decide whether an agreement is valid or enforceable.
